By accessing or using our website, mobile apps, admin portal, or any of our products (including Juxta Transport, Juxta Wayfinder, and Juxta Sync), you agree to comply with and be bound by these Terms and Conditions ("Terms"). - Users must be 18 years or older to access our services.
- By using Juxta, you represent and warrant that you have the legal authority to enter into these Terms on behalf of yourself or the organization you represent.
3. Description of Services
a. Juxta Transport
- Facilitates intra-hospital patient transport via real-time navigation, predictive analytics, and emergency response features.
- Requires integration with the hospital's EHR for barcode scanning and patient identification.
b. Juxta Wayfinder
- Provides live navigation for patients and visitors, offering real-time directions and traffic analytics within hospital facilities.
- Works without the need for hardware installations, such as beacons.
c. Juxta Sync
- Streamlines nurse rounds, automates documentation, and provides actionable analytics for administrators.
- Customizable rounding intervals and proactive alert systems are available through the admin portal.
4. User Responsibilities
- Users must ensure the accuracy of data inputted into the system, such as patient information or transport requests.
- Users are responsible for safeguarding their account credentials. Sharing login details is prohibited.
- Users must comply with all applicable laws, regulations, and internal hospital policies while using Juxta.
5. Payment and Fees
- Certain services, such as Juxta Transport and Juxta Sync, may require a subscription fee or per-bed license.
- Payment terms will be outlined in your contract or invoice. Non-payment may result in service suspension.
- Users are responsible for all applicable taxes and fees associated with Juxta services.
6. Data Privacy and Security
- Juxta complies with HIPAA, GDPR, and other applicable data protection laws.
- Juxta collects, processes, and stores data solely for the purpose of providing and improving its services.

7. Intellectual Property
- All content, software, and technology provided by Juxta are protected by copyright, trademark, and other intellectual property laws.
- Users are granted a limited, non-exclusive, non-transferable license to use Juxta services for their intended purpose.
- Unauthorized reproduction, distribution, or modification of Juxta’s intellectual property is strictly prohibited.
8. Prohibited Activities
Users may not:
- Use Juxta services for any illegal or unauthorized purpose.
- Reverse-engineer, decompile, or disassemble Juxta’s software or systems.
- Introduce malicious software, such as viruses or malware, into Juxta’s systems.
- Exploit Juxta’s services to infringe on the rights of others, including patient privacy or intellectual property rights.
9. Third-Party Integrations
- Juxta integrates with third-party systems, such as Epic and Cerner EHR platforms, to enhance functionality.
- Juxta is not responsible for the performance, security, or reliability of third-party systems or services.
10. Service Availability and Maintenance
- Juxta strives for 99.9% uptime but does not guarantee uninterrupted access.
- Scheduled maintenance and unexpected outages may occur. Juxta will provide notice for planned maintenance whenever possible.
11. Disclaimer of Warranties
- Juxta services are provided "as is" and "as available," without warranties of any kind, either express or implied.
- Juxta does not guarantee that its services will be error-free, secure, or meet specific user requirements.
12. Limitation of Liability
- To the fullest extent permitted by law, Juxta shall not be liable for indirect, incidental, or consequential damages arising out of the use of its services.
- Juxta’s total liability, whether in contract, tort, or otherwise, shall not exceed the amount paid by the user for the applicable service.
13. Indemnification
Users agree to indemnify, defend, and hold harmless Juxta and its affiliates from any claims, liabilities, or expenses arising from:
- Misuse of Juxta services.
- Violation of these Terms or applicable laws.
- Third-party claims related to patient data or operational errors.
14. Termination
- Juxta reserves the right to suspend or terminate access to its services for violations of these Terms.
- Users may terminate their account by contacting Juxta support. Termination does not relieve users of payment obligations.
15. Dispute Resolution
- Any disputes shall be resolved through binding arbitration in Cook County, Illinois, under the rules of the American Arbitration Association (AAA).
- The prevailing party in any dispute shall be entitled to recover reasonable attorney’s fees and costs.
16. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Cook County, Illinois, without regard to its conflict of law principles.
17. Amendments
Juxta reserves the right to amend these Terms at any time. Users will be notified of significant changes through email or platform notifications. Continued use of Juxta services constitutes acceptance of the revised Terms.
